These Terms and Conditions (“Terms“) govern your access to and use of the website located at www.electres.com (the “Website“), and any related products, services, content, and communications offered by Electres. The Website and the Electres brand are owned and operated by tecHindustan Solutions Private Limited, a company incorporated under the laws of India, having its registered office at ITC 11, 3rd Floor, Sector 67, Mohali, Punjab — 160062, India (“Electres“, “Company“, “we“, “us“, or “our“).

Electres operates as a business unit of tecHindustan Solutions Private Limited, focused on battery energy storage systems and related products and services.

By accessing, browsing, or using the Website, or by purchasing or expressing interest in any Electres product or service, you (“User“, “you“, or “your“) confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not access or use the Website or our products and services.

1. Acceptance and Eligibility

1. By using this Website, you represent that you are at least 18 years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872. If you are using the Website on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. We may modify these Terms at any time. Modifications take effect when posted on the Website. Your continued use of the Website after modifications constitutes acceptance of the revised Terms.

2. Our Products and Services

1. Electres designs, supplies, installs, and services battery energy storage systems (“BESS“) for residential, commercial and industrial, and utility-scale applications. Current product lines include Electres Home, Electres Pro, and Electres Grid.
2. The Website provides information about Electres products and services, including specifications, datasheets, applications, case studies, and contact options for prospective customers, partners, suppliers, and investors.
3. Product information is indicative. Product specifications, configurations, photographs, illustrations, and descriptions published on the Website are indicative and may be updated, modified, or withdrawn without prior notice. Final product specifications applicable to any purchase will be those set out in the formal commercial proposal, quotation, sales order, or contract issued by Electres for that specific transaction. In case of any inconsistency between Website content and a signed sales document, the signed document prevails.
4. Information on the Website does not constitute a binding offer to sell. All purchases are subject to a separate written sales agreement, purchase order acceptance, or commercial proposal acceptance, on terms agreed in writing between Electres and the purchaser.

3. Use of the Website

1. You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of any third party or restrict or inhibit any other person’s use of the Website.
2. You will not:
   1. Use the Website to transmit any unlawful, harmful, threatening, abusive, defamatory, vulgar, obscene, or otherwise objectionable content;
   2. Attempt to gain unauthorized access to any portion of the Website, systems, networks, accounts, or data;

All content on the Website, including text, graphics, logos, images, photographs, illustrations, product designs, technical drawings, datasheets, white papers, software, code, and the overall design and arrangement of the Website (“Electres Content“), is the property of tecHindustan Solutions Private Limited or its licensors, and is protected by Indian and international copyright, trademark, patent, design, and other intellectual property laws.

The names “Electres”, “tecHindustan”, “Electres Home”, “Electres Pro”, “Electres Grid”, and associated logos, taglines, and product names are trademarks of tecHindustan Solutions Private Limited (whether registered or pending registration in India). You may not use these marks without our prior written permission.
3. You may view, download, and print Electres Content for personal, non-commercial reference, provided that you do not modify the content and that you retain all copyright and other proprietary notices. Any other use — including reproduction, modification, distribution, public display, public performance, or creation of derivative works — requires our prior written permission.
4. If you provide us any feedback, suggestions, ideas, or comments regarding the Website, our products, or our services, you grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, and incorporate such feedback for any purpose without compensation or obligation to you.

5. Product Purchases and Sales

1. The Website may permit you to express interest in or request a quotation for Electres products. Such interest or request does not create a binding sale. A binding sale is formed only when (i) Electres issues a written acceptance of a purchase order or signed commercial agreement, and (ii) any required advance payment is received and acknowledged.
2. All product sales are governed by Electres’ standard terms of sale, the relevant product datasheet (in the version current at the time of order acceptance), the applicable warranty terms (published at www.electres.com/warranty), and any specific terms set out in the written sales agreement.
3. Pricing displayed on the Website (where applicable) is indicative and may change without notice. Final pricing applicable to a transaction is the price set out in Electres’ written commercial proposal or quotation, valid for the period stated therein.
4. Installation, commissioning, and post-deployment service are subject to separate scope and terms agreed in writing.

6. Third-Party Content, Links, and Suppliers

1. The Website may contain links to third-party websites, content, or services that are not owned or controlled by Electres. We provide such links only for convenience and do not endorse, are not responsible for, and make no representations regarding any third-party website, content, or service.

Such third-party components are subject to the warranties and terms provided by the respective supplier, and are governed by the warranty terms of Electres only to the extent expressly stated in Electres’ warranty document.

THE WEBSITE AND ALL CONTENT, INFORMATION, MATERIALS, AND SERVICES MADE AVAILABLE THROUGH THE WEBSITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, EXCEPT AS EXPRESSLY SET OUT IN A SEPARATE WRITTEN AGREEMENT OR IN THE APPLICABLE PRODUCT WARRANTY DOCUMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TECHINDUSTAN SOLUTIONS PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
2. In respect of product sales, installation, commissioning, and service, the liability of Electres shall be governed by the terms of the applicable written sales agreement and product warranty, and shall not be expanded by anything on the Website.
3. Aggregate liability cap for Website use: To the maximum extent permitted by law, Electres’ total aggregate liability arising out of or relating to your use of the Website (excluding liability under a separate written sales or service contract) shall not exceed ₹10,000 (Indian Rupees Ten Thousand only).
4. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable Indian law (including, where applicable, liability for death or personal injury resulting from negligence, fraud, or fraudulent misrepresentation).

9. Indemnification

1. You agree to indemnify, defend, and hold harmless tecHindustan Solutions Private Limited and its directors, officers, employees, agents, and affiliates from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
   1. Your breach of these Terms;
   2. Your violation of any applicable law or regulation;
   3. Your violation of any rights of any third party, including intellectual property or privacy rights;
   4. Your misuse of the Website or any content obtained through it.

10. Force Majeure

1. Electres shall not be liable for any failure or delay in performance of obligations under these Terms (or any related sales or service contract, except as expressly varied therein) caused by events beyond reasonable control, including but not limited to acts of God, fire, flood, earthquake, war, terrorism, riot, civil unrest, government action, pandemic, epidemic, strike, supplier failure, internet or telecommunications failure, cyber attack, power failure, or shipping or customs delays.

11. Governing Law and Jurisdiction

1. These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles.
2. Subject to Clause 11.3 below, any dispute, controversy, or claim arising out of or relating to these Terms or the Website shall be subject to the exclusive jurisdiction of the courts at SAS Nagar (Mohali), Punjab, India.
3. Notwithstanding Clause 11.2, Electres reserves the right to initiate proceedings to protect its intellectual property rights or to enforce its rights in any court of competent jurisdiction.
4. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved amicably. Failing resolution, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Mohali, Punjab, India. Proceedings shall be conducted in English by a sole arbitrator appointed by Electres brand are owned and operated by tecHindustan Solutions Private Limited.

12. Severability and Waiver

1. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
2. No failure or delay by Electres in exercising any right under these Terms shall operate as a waiver of that right.

13. Entire Agreement

1. These Terms, together with the Privacy Policy, the applicable Warranty Terms, and any written agreement signed between Electres and you for a specific transaction, constitute the entire agreement between you and Electres relating to the Website and supersede all prior or contemporaneous understandings.
